 Abstract 

The relevance of the research topic lies in the fact that in changing socio-economic conditions, any institution of civil law can undergo a significant transformation, and the institution of legal entities is no exception. The relations that are formed in the course of the activities of legal entities are becoming more and more complex every year, as evidenced by the changes made to the civil legislation. The legal regulation of commercial corporate organizations, as well as the problems that arise in this case, are very relevant for the modern Russian state. Today, such an organizational and legal form of corporate legal entities as limited liability companies occupy a leading place among other forms of small and medium-sized businesses. This fact is due to the fact that this well-established form of legal entity is one of the most flexible, simplified and economical, without the personal responsibility of the participants. The main objective of the study is to highlight the features and problems of legal regulation of limited liability companies in the Russian civil legislation, as well as to develop proposals for improving legislation in this area. It is concluded that to date, a huge amount of practical experience has been accumulated in the field of legal regulation of limited liability companies.
